## Problem
Two terms that a firm reselling our data into client work will not accept
unnegotiated:
1. **Governing law**: *"laws of the United Arab Emirates... courts of Dubai,
United Arab Emirates will have jurisdiction."* Entity is "World Monitor,
based in Dubai, United Arab Emirates."
2. **Liability**: service *"as is and as available without warranties of any
kind"*; liability *"will not exceed the amount you paid us in the twelve
months before the claim, or **USD 100** if you paid nothing."* At $299.99/mo
that caps at ~$3,600. **No SLA exists anywhere on the site.**
## Why it matters
This is the one item on the surface-defect list that is a **genuine commercial
negotiation, not a bug**. A Toronto firm embedding us in a client-facing product
carries duty-of-care exposure to their own clients and will push on both.
## Decide in advance
- Will we accept Ontario or English law for material contracts? A carve-out for
Embed/OEM tiers is normal and does not require moving the entity.
- What liability cap is acceptable at $18k/yr? **12 months' fees, mutual**, is
the standard answer and is defensible.
- **SLA: 99.5% monthly with service credits as the SOLE AND EXCLUSIVE remedy**,
capped at one month's fees, no SLA-termination right in year one. This is the
single most important clause for a solo-operated platform — the always-
negotiated point in data licensing is whether credits are sole remedy.
**Do not concede it.**
