Description

AS a competent authority
I WANT to be able to access full sets of Registrar's Transparency information for specific periods of time
SO THAT I can complete my investigation

**Policy Insight into allowance of bulk data export for competent authorities**

The Registrar’s Transparency Register (RTR) will be a separate set of data composed of the information filed with the registrar under Business Corporations Act (BCA) section 119.52 (information from a company’s internal transparency register), including any corrections, additions or notations made to that information by the Registrar. Bill 20, Division 3, titled “Search and Inspection of Registrar’s Transparency Register” provides the provisions by which competent authorities may search and inspect information in the RTR. Under sections 399.46-399.49, specific persons or classes of persons (these sections cover the enforcement officer, official or employee of the ministry, taxing authority, law enforcement, and regulators-BCFSA,FINTRAC are captured as regulators) may “search and inspect” The information in the RTR. The phrase “search and inspect” for these sections would encompass free bulk data sharing.

There is also section 399.5 in Bill 20 titled “search and inspection under information-sharing agreements for prescribed purposes”:
As you can see, this section requires an information sharing agreement to be in place and the information that can be shared (part or all) and the purpose(s) for the sharing to be in the Business Corporations Regulations. In addition, the person, or entity, who wishes to search and inspect the RTR information may need to be added to the Regulations if they are not a person or entity referred to in section 5 of the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada).
If bulk data requests come through specifically for RTR data, there will be an avenue to facilitate appropriate requests. However, the specific request may require an information sharing agreement and/or an addition to the Regulations.
Any request from a person, or class of persons, for bulk RTR data will need to be examined, and the following taken into consideration:
• The Registry would want to authenticate who is making the request and determine if the request is reasonable (who is asking, what data are they asking for, and why do they need it?). Authentication will be an important part of the process due to the personal information in the RTR.
• The applicable section of the BCA enabling the data sharing would need to be identified. Checking to see if an information sharing agreement might be required or if something might need to be added to the Regulations to authorize the sharing.
