Description

**The Resolution or Court Order need to be mandatory ONLY when altering the special rights or restrictions attached to a class or series of shares.**
Excerpt from the BC Corporations Act:
Section 11(h) of the Business Corporations Act requires the company to enter the date of each resolution or court order altering the special rights or restrictions attached to a class or series of shares that was made after the later of the following:

1) the day on which the Act comes into force (i.e. March 29, 2004), and

2) the date on which the company is recognized under the Business Corporations Act.

The Corporate Online System allows only one resolution/court order date to be entered on each Notice of Alteration filed with the Registrar.

Other alterations may be completed along with the entering of the one resolution/court order date, such as altering the authorized share structure, or changing the company name.

If there is more than one resolution/court order date to be entered, they must each be entered on a separate Notice of Alteration filing.
